I. Introduction

BugHunt is a platform owned and managed by BUG HUNT PLATFORMA DE RECOMPENSA T.I. S.A, joint-stock company registered with the CNPJ under nº 37.248.277/0001-48, with headquarters in the city and state of São Paulo, at Avenida Brigadeiro Faria Lima, 1,461, set 41, PO Box 223, Torre Sul, Jardim Paulistano, CEP 01452-921 (“BugHunt”).

Our platform (“Platform”) serves as a means for companies (“Clients”) to offer remuneration so that professionals with technical knowledge in computing and information technology (“Experts”) find security flaws in their systems, in accordance with established rules and published on the Platform, which Experts must formally accept before engaging in any Program (as defined below).

Through these General Terms and Conditions of Use (“Terms”), we present to users in general, Customers and Experts, the essential conditions for the use of the services offered on the Platform.

By accepting the Terms, you are confirming that you understand and agree to be bound by their terms and are the solely responsible for understanding and complying with all laws, rules, regulations and requirements of the jurisdiction where you reside, which may be applicable to your use of the Platform.

Save or print a copy of the Terms for your review. If you do not understand any of the provisions of the Terms, please contact us before using the Platform.

You may not access or use the Platform unless you agree to comply with all terms and conditions provided for in these Terms.

II. Registration

2.1. The use of the Platform depends on prior registration, as a Client or Specialist (when in together, the “Users”).

2.2. The data provided serves mainly to guarantee the identification of users of the Platform, and are used in accordance with our Privacy Policy.

2.3. The Platform is available to individuals and legal entities regularly registered with the records of federal taxpayers who have the legal capacity to hire them, so they cannot people who do not enjoy this capacity, as well as minors under 18 (eighteen) years of age, register on the Platform.

2.4. You can make and maintain or control only one registration on the Platform. If we reasonably suspect that you have created or control additional registrations as a representative, we reserve the right to close these additional registrations immediately or consolidate them all into a single registration.

2.5. When registering on the Platform, you must provide updated, complete and accurate information to the respond to all items requested by BugHunt before being able to access the Platform. When filling any questionnaire or other request for information by BugHunt or provide any update of this information, you warrant and represent that such information is true, complete and accurate in all relevant aspects. If any of this information changes, you must update us as soon as possible. possible with the correct information. We reserve the right to retain your registration information after to close your account for business and regulatory compliance purposes. You authorize and give your consent to BugHunt, directly or through third parties, to make any inquiries we deem necessary to validate your identity or corroborate the information provided by you, including verifying your identity through services electronics.

2.6. We may, at our sole discretion, refuse to register on your behalf for any reason. Additionally, your access to the Platform may be changed as a result of the information collected continuously about you and we reserve the right to review your registration regularly in accordance with our Platform policies and rules.

2.7. BugHunt may unilaterally delete Users' registration when it is verified that the conduct of the User is or will be harmful or harmful to other Customers or Experts, as well as to BugHunt itself, its employees or third parties.

2.8. It is necessary to complete all personal data required by BugHunt at the time of registration. registration, so that the User is authorized to use the Platform.

2.9. It is the sole responsibility of Users to provide, update and guarantee the veracity of data registrations, and BugHunt is not liable for any type of civil, fiscal and criminal liability arising of untrue, incorrect or incomplete data provided by Users.

2.10. If BugHunt considers a registration, or the information contained therein, to be suspected of containing erroneous data or untrue, BugHunt reserves the right to suspend, temporarily or definitively, the respective Users, without prejudice to other applicable sanctions.

2.11. The User will access their account using their registered email and password, undertaking not to inform the these data to third parties, taking full responsibility for the use made of them.

2.12. The User undertakes to notify BugHunt immediately, through the contact channels maintained by BugHunt on the Platform, regarding any unauthorized use of your account.

2.13. BugHunt reserves the right, unilaterally and without prior notice, to refuse any request for registration and canceling a previously accepted registration.

III. Use of the Platform

3.1. Once duly registered on the Platform, the Customer will be able to offer a reward program so that specialists who are interested, in accordance with the scope defined by the Client, dedicate themselves to carrying out test program procedures in order to find faults and weaknesses in the systems chosen by the Customer (“Program”).

3.2. BugHunt can support Customers through all phases of creation, release and monitoring the Program, so that the scopes, rules, rewards and number of specialists are consistent with the planned budget, without any of the assistance provided implying any BugHunt's responsibility in relation to the Program.

3.3. BugHunt will publish on the Platform the specific rules for each Program, including, but not limited to, limiting its scope, reward and payment method, with Specialists being required to join the rules of each Program, as well as the execution of the Confidentiality Agreement with BugHunt to that is considered qualified and suitable for the rules of each Program.

3.4. Thus, the Platform only serves as a means of facilitating contact between Experts and Clients, so that the relationship between Specialists and Clients is their sole and exclusive liability, BugHunt not being a party to these agreements and not being responsible for any of the obligations assumed by the parties or damages resulting from this relationship. BugHunt acts solely and exclusively as an intermediary between Clients and Specialists for the formatting, organization and Program promotion.

3.5. The availability of the Program does not guarantee the solution to the issue sought by the Customer. A availability only means the publication of the Program before the community of Experts eligible.

3.6. The reward to Specialists is defined by the Client in each Program, being the only and exclusively responsible for its payment in accordance with the previously established scope and the Program rules published on the Platform.

3.7. Program made available by the Client will have a condition similar to a competition between Specialists eligible, with payment of the reward to the person who first meets the established conditions. A BUG HUNT does not guarantee the solution of the Program and recognizes the absolute impersonality in the relationship with the Experts.

3.8. The reward is due to the Specialist who first presents the desired solution in the Program, there will be no type of obligation or relationship towards Specialists who have not been the “winner” of the Project.

3.9. When making the Program offer, the Customer may choose two options:

    i. Public: the public Program is available to any and all Specialists registered with the Platform.

    ii. Private: the Program is made available to a select group of Specialists, selected according to criteria defined by the company.

3.10. In turn, Specialists will only be able to participate in Programs on the Platform, upon acceptance specific rules of the Program, in addition to signing a Confidentiality Agreement with BugHunt, the in order to ensure the secrecy and confidentiality of all data and information to which it has access, whether from the Customer and/or BugHunt.

3.11. The relationship with the Specialists will not contain any aspect of personality, and the Programs will consist of a competition open to all eligible Specialists, and it will not be possible, therefore, to directing demands to specific Specialists.

3.12. It will not be possible for the Specialist to request the “reserve” of the Program for themselves, as once the Program, whoever first presents the desired solution will be entitled to the reward.

3.13. The Specialist is not guaranteed any type of remuneration as a result of their personal efforts in any Program available on the Platform. Only the first Expert, whose report If you are approved within the scope of the Program, you will be entitled to receive the reward.

3.14. The Platform is not responsible for and is not committed to evaluating the report presented by the Specialist to the Client, who will be responsible for expressing their approval, and consequent payment of the reward, or not.

3.15. The Specialist is free to decide on his participation in any Program, and he is not responsible for no obligation or commitment towards the Platform.

IV. Information Security

4.1. We are committed to protecting your personal information and helping you understand exactly how your personal information is being used. You should carefully read our Privacy Policy as it provides details about how your information Personal information is collected, stored, protected and used.

4.2. All information and/or personal data provided by Users are stored in accordance with the best security practices on the market.

4.3. BugHunt will take reasonable measures to maintain the confidentiality and security of information received, however, will not be responsible for any loss that may arise from the violation of these measures by third parties that use improper, fraudulent or illegal means to access the information stored by the Platform

4.4. BugHunt may use Customer and Expert data for analysis, studies, preparation of reports, all as necessary for the proper functioning and development of the Platform and of the services offered.

4.6. Users agree that their personal information will be sent to the Customer or Specialist, as appropriate, so that communication between the Parties is possible, if necessary.

4.6. Users are responsible for:

   (i) maintain the confidentiality and security of any and all account names, User IDs, passwords, two-factor authentication, personal identification numbers (PINs), and codes cell phone unlocking (the “Security Data”) that you use to access the Platform;  (ii) maintain electronic devices through which the Platform is accessed, or your Security Data authenticated, secure and maintain adequate security and control of such devices (which includes taking all reasonable steps to prevent the loss, theft or misuse your devices); It is  (iii) keep your email address and cell phone number updated at your Platform profile and maintain the confidentiality of your Security Data

4.7. Likewise, Users must notify BugHunt immediately if they become aware of any unauthorized use of the Platform and/or any other breach of security in relation to the Platform, contacting us via email

4.8. If we become aware or suspect that: (i) any of your Security Data has been compromised and/or; (ii) there has been any unauthorized use of the Platform; and/or (iii) there was any other breach of security in relation to the Platform, if the law permits, we will notify you using the email address you provided to us by the end of the business day on which we became aware of the breach. If we suspect that your email address has been compromised, we will suspend your use of the Platform, as set out in these Terms. We will release the suspension of your access to the Platform only when we are satisfied that your account is secure and that the reason for suspension has ended. If your access to Platform remains suspended for more than 180 days and we are unable to contact you, We will permanently terminate your access to the Platform.

V. Privacy and Confidentiality Policy

5.1. BugHunt's Privacy Policy, which describes how BugHunt collects, uses and discloses information from Customers and Experts, will be applicable to the Platform and all the Programs available there.

5.2. Experts may not, under any circumstances, disclose and/or mention, in any media, including, but not limited to social media, forums, blogs, whatsapp groups, telegram, discord and reddit, about BugHunt Programs and/or Clients, especially regarding possible weaknesses identified, risks, operations, methods used to identify the failure and extent of the failure.

5.3. Failure to comply with the confidentiality provided for in the item above and in the Confidentiality Agreement concluded by the Specialist with BugHunt will result in a fine, in addition to the loss of any payments relating to Programs, as well as their definitive exclusion from the Platform, without prejudice to the adoption of appropriate legal measures, both on the part of BugHunt and the Customers, for damages and losses that you might try.

VI. User Obligations

6.1. Without prejudice to other obligations mentioned throughout these Terms, the obligations of Experts:     i. The Specialist must have the legal capacity to carry out the activities to which he is assigned. available through the Platform;

    ii. Due to BugHunt not being a party to the Programs offered by the Customers, the responsibility for all obligations arising therefrom, whether tax, labor, consumerist or of any other nature, will be exclusively the responsibility of the Specialist or the Clients, according to may be stipulated in the Program rules. In the event of a judicial interpellation with the aim of actions of the Specialist related to the Platform, he will be called to the process, and must bear all the costs arising therefrom, including expenses with fees, fees, agreements, legal fees between others;

    iii. BugHunt is not responsible for tax obligations arising about Users' activities. The Specialist, in accordance with current legislation, will be responsible for the fulfillment of all obligations arising from the eventual provision of services to Customers, under the terms of their respective Programs;

    iv. The Specialist understands that all information received from Clients, as well as as conclusions reached throughout their work, should be understood as confidential, so what may not be disclosed to any third party, nor may they be used for any other purpose other than those for which they were provided and in accordance with these Terms;

    v. The Specialist will not use a device, software or other resource that be likely to interfere with the activities and operations of the Platform, as well as the descriptions, accounts or their databases. Any improper action, attempt to, or activity that violates or contravenes the laws of intellectual property right and the prohibitions stipulated in these Terms will subject the Expert responsible for the effects of the relevant legal actions, as well as the sanctions provided for herein, and is also responsible for compensating BugHunt and/or its Customers for any damages caused; and

    vi. Comply with the provisions of the rules of the Programs to which you have accepted to participate, submitting to the Platform a vulnerability report, which details any possible identified vulnerabilities (“Vulnerability Report”), as agreed in each Program;

    vii. The Expert will indemnify, defend and hold harmless Bughunt and its executives, directors, employees and agents, from and against any claims, disputes, demands, liabilities, losses and damages, costs, expenses, legal and accounting fees arising from, or from some related, to (i) service performed by the Specialist within the scope of the Programs, (ii) non-compliance with the Program rules by the Specialist, (iii) Vulnerability Report of the Expert or (iv) Expert's violation of any rules of these Terms. Without prejudice to other obligations mentioned throughout these Terms and in private agreements signed between the Customers and BugHunt, are the Customers' obligations:

    i. Comply with the rules established in the Programs, especially those relating to the payment of Specialists;

    ii. Provide instruments, information and other data necessary for Specialists can perform the services provided for in the Programs;

    iii. The Client understands that all personal data of the Experts must to be understood as confidential, so that they cannot be disclosed to any third party, nor may be used for no other purpose than those for which they were provided and in the in accordance with these Terms, as well as for the purposes of complying with any legal obligations arising from these Terms or the Programs; and

    iv. Customer will indemnify, defend and hold harmless Bughunt and its officers, directors, employees and agents from and against any claims, disputes, demands, liabilities, damages, losses and costs and expenses, including, without limitation, legal and accounting fees arising out of or in any way connected with (i) the Customer Program Material, (ii) O Customer's use of the Vulnerability Report or (iii) Customer's violation of the Terms.

7. Exclusion of Liability

7.1. BugHunt, of course, is not responsible for technical defects or defects and/or operating systems originating from the Customer's system or from third parties.

7.2. Any contract or other interaction between a Client and an Expert, including in relation to any policy and rule of the Program, will be between the Client and the Experts. BugHunt is not a party of such contracts and disclaims any liability arising from or in connection with such contracts. BugHunt's relationship with Experts is impersonal.

7.3. BugHunt will not be responsible for reimbursing its Users for any connection costs telephone calls, data packages, SMS, messages, emails, correspondence or any other value spent by the User due to contact with BugHunt or any other User, for any whatever reason.

7.4. BugHunt cannot be held responsible for the effective fulfillment of the obligations assumed by Users. Users acknowledge and accept that, when carrying out negotiations with other Users, do so at their own risk, recognizing BugHunt as a mere provider of security services. provision of virtual space for advertising the Programs offered by Customers.

7.5. In no case will BugHunt be responsible for lost profits or any other damages and/or loss that the User may suffer due to negotiations carried out or not carried out through Platform, arising from the conduct of other Users.

7.6. BugHunt reserves the right to assist and cooperate with any judicial authority or body government, and may send registration or business information of its Users, when considered that your assistance or cooperation is necessary to protect your Users, employees, employees, administrators, partners or anyone who may be harmed by the action or omission combatted.

7.7. The Platform may contain or allow you to interact with links to third party websites, mobile software applications, products and services that are not owned or controlled by BugHunt (each, the “Third Party Service”). We are not responsible for the content, security or practices privacy policy of such Third Party Services. You must read and agree to the terms, conditions and privacy policy of each Third-Party Service that you choose to interact with or use and the BugHunt cannot accept any responsibility for any Third Party Service.

7.8. Except as otherwise provided in the Terms, neither we, our affiliates or service providers, nor any of our or their respective officers, directors, agents, employees or representatives will be responsible for any amount in excess of the fees received from BugHunt for the Program subject to questioning by Users. When we are considering a claim related to a specific Program, BugHunt's liability will be limited to the amount that would be owed to BugHunt for the Program in question.

7.9. In addition to the limit established in item 7.8 above, in no case will we, our affiliates or service providers, or any of our or their respective officers, directors, agents, employees or representatives, we will be responsible for any of the following types of loss or damage arising out of or in connection with the Terms or otherwise:

    i. any loss of profits or loss of revenue or expected earnings, including any loss of anticipated trading profits and/or any actual or hypothetical trading losses, even if we were warned, knew or should have known of the possibility of it. This means, By way of example only (and without limiting the scope of the preceding sentence), if you allege that we failed in the correct processing of the Platform and/or Programs, your damages are limited as per item 7.8 above, and that you may not recover compensation for any “loss” of anticipated profits or for any actual losses incurred as a result of the Platform's processing failure;

    ii. any loss or damage to reputation or image; any loss of business or opportunity, customers or contracts; any loss or waste of overhead, management or other team time; or any other loss of actual or anticipated revenue or savings, even if let's be warned, we knew or should have known of the possibility of it;

    iii. any loss of use of hardware, software or data and/or any corruption data; including, but not limited to, any loss or damage arising from or in connection with any inaccuracy, defect or omission of data from the Platform; any error or delay in transmission in such data; and/or any interruption in such data;

    iv. any loss or damage that does not directly result from our breach of Terms; and/or

    v. any loss or damage that is greater than that caused as a result direct from our breach of the Terms (whether or not you are able to prove such loss or damage).

7.10. The Platform is provided “as is” and “as available”, without any representation or warranty, express or implied, to the fullest extent permitted by law Applicable: Specifically, we disclaim any implied warranties of title, merchantability, fitness for a particular purpose and/or non-infringement. We do not make any representations or warranties of that access to the Platform, Programs, or any of the materials contained therein, will be continuous, uninterrupted, timely or error-free.

VIII. Changes to the Platform and Website

8.1. From time to time, we may need to make changes to the Terms.

8.2. We may make a change to the Terms for any of the following reasons, with any change being a reasonable and proportionate response to the circumstances that affect us or that we reasonably believe will affect us, including, but not limited to, a change in our legal or regulatory requirements, for example, we may have to change our requirements to maintain your registration on the Platform.

8.3. We may make changes for any other reason that we cannot foresee, for example to respond to changes among our competitors that affect how we want to make the Platform for you. We may change any part of the Terms at any time. We will notify you by email one month in advance. If you do not agree to any modification, your sole and Your exclusive remedy is to cancel your use of the Platform. If you do not cancel your use of the Platform, By continuing to use the Platform, you will be deemed to have accepted the changes. You agree that we will not be liable to you or any third party as a result of any losses suffered by any modification or amendment of the Terms.

8.4. You can always check when the Terms were last changed by checking the date of “Last Updated” at the top of the Terms

IX. Payments

9.1. By being successful in a Program, the Specialist will be entitled to receive the promised reward by the Client, in accordance with the rules set out in the Program and, as long as the Specialist is not failure to comply with any of the provisions of these Terms, the Program rules and/or the User Agreement Confidentiality signed with BugHunt and/or the Customer.

9.2. The amount owed by the Customer will be paid, subject to the rules of each specific Program, against the sending by the Specialist in question all the requested registration data, in addition to the respective form of tax information requested by the Customer and/or BugHunt, observing the deadlines that are determined.

9.3. The Specialist acknowledges that payments will not be processed without the correct and complete availability of all documents and tax information requested by the Client and/or BugHunt, with payments suspended until this obligation is fulfilled.

9.4. It is now agreed that the remunerations provided for in the Programs were agreed in a manner absolute, with each Party being responsible for the taxes applicable to it, in accordance with with current legislation.

9.5. If there is a legal determination to do so, BugHunt may withhold the amount of taxes due on the payments of the reward to the Specialist, with information on such amounts in the tax document issued by the Specialist.

X. Advertising

10.1. BugHunt may use the name of the Client and/or the Expert in any advertising or publicity that describes the relationship between the parties, naturally protecting the confidential details of each Program.

XI. General Provisions

11.1. Failure to enforce any provision of these Terms does not constitute a waiver of rights on the part of BugHunt, which may be required to be fulfilled at any time.

11.2. If any provision of these Terms is found to be unenforceable or invalid, that provision will be invalidated in isolation and will not affect the rest of the provisions.

11.3. Any action that constitutes, or may constitute, the commission of a crime or act in bad faith or contrary to the good customs will give rise to communication by BugHunt to the competent authorities, without prejudice to other applicable measures in accordance with these Terms and applicable legislation.

XII. Applicable Legislation and Election Forum

12.1 All items in these Terms are governed by the laws in force in the Federative Republic of Brazil. For all matters relating to interpretation, compliance or any other question related to these Terms, the parties agree to submit to the São Paulo District Court.
